1. Agreement to Terms
By accessing and using the services of Dylan Bruce Media ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
These Terms of Service constitute a legally binding agreement between you (the "Client") and Dylan Bruce Media.
2. Services Provided
Dylan Bruce Media provides content creation services, including but not limited to:
- Video content creation and editing
- Social media content production
- TikTok and Instagram content creation
- Brand collaborations and sponsored content
- Content strategy consultation
- User-generated content (UGC) creation
The specific scope of work will be outlined in a separate project agreement or proposal.
3. Payment Terms
Payment Structure
All services provided by Dylan Bruce Media require the following payment structure:
- 30% Upfront Payment: A non-refundable deposit of 30% of the total project cost is required before any work commences. This deposit secures your booking and allows us to begin work on your project.
- 70% Upon Delivery: The remaining 70% of the total project cost is due upon delivery of the completed service before final files are released to the client.
Accepted Payment Methods
We accept payment via:
- Bank transfer
- PayPal
- Credit/Debit card
- Other methods as agreed in writing
Late Payments
If the final payment is not received within 7 days of delivery, we reserve the right to:
- Withhold final deliverables
- Charge interest on overdue amounts
- Suspend work on any ongoing or future projects
- Pursue legal action for non-payment
Refund Policy
The 30% upfront deposit is non-refundable once work has commenced. Refunds for the remaining balance may be considered on a case-by-case basis if the project is cancelled before substantial work has been completed.
4. Client Responsibilities
Trust and Transparency
A successful working relationship requires:
- 100% Transparency: Clients must be open and honest about their goals, expectations, brand guidelines, and any relevant information that may affect the project.
- Trust: Clients must trust our creative process and expertise while providing constructive feedback when necessary.
- Timely Communication: Clients must respond to communications and provide necessary materials in a timely manner to avoid project delays.
Social Media Knowledge
Clients should have at least basic knowledge about social media platforms and be willing to:
- Understand how social media platforms operate
- Learn about content strategy and audience engagement
- Be open to education about best practices for their specific platforms
- Actively participate in the strategic planning process
Commitment and Dedication
Success in social media and content creation requires:
- Dedication to the Operation: Clients must be committed to the content creation process and their growth goals.
- Persistence: Building a successful online presence takes time. Clients are expected not to give up during the process, even when results may not be immediate.
- Consistency: Clients must be willing to maintain a consistent content schedule and follow through on agreed strategies.
- Realistic Expectations: Understand that results in social media take time and that viral success cannot be guaranteed.
Content Approval and Feedback
Clients are responsible for:
- Providing clear briefs and examples of desired content
- Reviewing content promptly and providing specific feedback
- Approving final content before publication
- Ensuring all information provided is accurate and legally compliant
5. Intellectual Property Rights
Ownership of Deliverables
Upon receipt of full payment (both the 30% deposit and 70% final payment), you will own the final content deliverables created specifically for your project.
Usage Rights
Dylan Bruce Media retains the right to:
- Use completed work in our portfolio and marketing materials
- Share case studies of our work together (with your permission)
- Reference you as a client (unless otherwise agreed in writing)
Client-Provided Materials
You warrant that any materials provided to us (logos, images, text, etc.) are either owned by you or you have the necessary rights and permissions to use them. You agree to indemnify us against any claims arising from your breach of this warranty.
Third-Party Content
If stock footage, music, or other third-party assets are used in your content, you are responsible for ensuring proper licensing for your intended use.
6. Revisions and Changes
Each project includes a specified number of revision rounds as outlined in the project agreement. Additional revisions beyond the agreed scope may incur extra charges.
Major changes to the project scope after work has commenced may require:
- Additional fees
- Extended timelines
- A new project agreement
7. Project Timelines
We will provide estimated delivery dates for all projects. While we strive to meet all deadlines, timelines are dependent on:
- Timely receipt of the 30% deposit
- Prompt client feedback and approvals
- Availability of necessary materials and information
- No major scope changes during the project
Delays caused by the client (late payments, delayed feedback, missing materials) will extend the project timeline accordingly.
8. Cancellation and Termination
Client Cancellation
If you cancel a project:
- The 30% upfront deposit is non-refundable
- You will be charged for any work completed beyond the deposit amount
- You must provide written notice of cancellation
Our Right to Terminate
We reserve the right to terminate our services if:
- Payment is not received as agreed
- The client is unresponsive for more than 14 days
- The client breaches these Terms of Service
- The working relationship becomes untenable
9. Confidentiality
We agree to keep confidential any proprietary or sensitive information you share with us during the course of our work together. This does not apply to information that:
- Is already publicly available
- Was known to us before you shared it
- Is independently developed by us
- Must be disclosed by law
10. Limitation of Liability
To the fullest extent permitted by law, Dylan Bruce Media shall not be liable for:
- Any indirect, incidental, special, or consequential damages
- Loss of profits, revenue, or business opportunities
- Platform algorithm changes affecting content performance
- Social media platform policy changes or account suspensions
- Third-party actions or platform technical issues
Our total liability for any claim shall not exceed the total amount paid by you for the specific service in question.
11. No Guarantee of Results
While we strive to create high-quality content that performs well, we cannot guarantee:
- Specific view counts, engagement rates, or follower growth
- Viral success or algorithm favorability
- Sales or conversions resulting from content
- Platform algorithm behavior or changes
Social media success depends on many factors outside our control, including platform algorithms, audience behavior, timing, and market trends.
12. Indemnification
You agree to indemnify and hold harmless Dylan Bruce Media from any claims, damages, losses, or expenses arising from:
- Your breach of these Terms of Service
- Your use of the delivered content
- Content or materials you provide to us
- Any violation of law or third-party rights
13. Force Majeure
We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, or technical failures.
14. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
15. Changes to Terms
We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services after changes are posted constitutes acceptance of the modified terms.
For existing projects, the terms agreed upon at the start of the project will continue to apply.
16. Entire Agreement
These Terms of Service, along with any project-specific agreements or proposals, constitute the entire agreement between you and Dylan Bruce Media regarding our services and supersede all prior agreements or understandings.
